SERVICE CONTRACT (PUBLIC OFFER)

       Tallinn April 10th, 2023

 This offer is an official proposal of OU MegagroupEU, hereinafter referred to as the "Contractor", addressed to an unspecified number of persons, to conclude a contract for the provision of services on the following conditions..

1.TERMS

1.1.For the purposes of common interpretation and understanding, the following terms are used in the following meaning::

Public offer (hereinafter referred to as the offer) – is the offer of the Contractor addressed to the Customer (legal entity, individual or individual entrepreneur) to conclude a contract for the provision of services on the terms contained in this public offer.

Acceptance of a public offer (hereinafter referred to as acceptance, acceptance of an offer) – is the full and unconditional acceptance by the Customer of the terms of this public offer by performing the actions specified in section 2 of the public offer. Acceptance of the offer creates a contract and is recognized as concluded. Contract (hereinafter referred to as the Contract or Offer) is a reimbursable agreement between the Contractor and the Customer for the provision of services, concluded by accepting a public offer.

Contractor –  OU MegagroupEU

Customer – a legal entity, an individual or an individual entrepreneur who intends to receive services that has entered into an agreement with the Contractor on the terms contained in this public offer. A legal entity, individual or individual entrepreneur who has accepted the conditions set out below and paid for the services is recognized as the Customer.

Parties – the Customer and the Contractor, hereinafter referred to when jointly mentioned.

2. THE SUBJECT OF THE OFFER

2.1. The Contractor, for a fee, provides the Customer with services to create an Internet website (hereinafter referred to as the "website") in the amount according to the paid tariff

Landing Page Tariff
 

2.1. The Contractor, for a fee, provides the Customer with services to create an Internet website at "Landing Page" Tariff (hereinafter referred to as the "website") in the following scope::

- Providing the Customer with a ready-made one-page website template from those presented at https://design.megagroup.ee/solution/landingpage. The template defines the location of various elements on the website, the artistic style and how the pages are displayed. The template includes a program html code, graphic elements, style sheets, additional files for displaying content, and other elements. The website template is the result of intellectual activity, the exclusive rights to which belong to the Contractor. All templates and modules are provided "as is" without any technical modifications.

- Ability to select and create on the website up to 20 functional blocks from the existing library of blocks.

- Providing 1 Gb of disk space for website files;

- The choice of website design from the templates proposed by the Contractor with the ability to customize the color scheme;

- Providing of a content management system (CMS) for self-management of the content of the website

- Connection of a domain name provided by the customer (hereinafter referred to as the "domain").)

- Registration of the website in the Google search engine..

- Consulting support for the website.

- Placing a website on the Internet with the provision of a content management system (the first 4 months are included in the cost of the website)..

2.2. Work order:

- The Customer selects a ready-made one-page website template from those presented at https://design.megagroup.ee/solution/landingpage and submits an application for the creation of a website.

- After filling out the application, the Contractor creates a website for the Customer according to the selected template with test content and places it at a temporary address on the Internet. The website is assigned a digital identifier - #, through which it is subsequently individualized on the Contractor's server (website identifier). The website identifier remains unchanged when changing the domain name, including when moving from a temporary address to the main domain name.

-The Contractor connects to the website a management system for filling the website with information and provides the Customer with access to it through authorization in the Megagroup.ee User Cabinet.

- To gain access to the website management system, the Customer or his representative registers and / or logs in to the Megagroup.ee User Account, indicating his e-mail address as a login, as well as the phone number and full name of the person responsible for working with the website. The specified e-mail address becomes the contact address for this website. Further, all orders regarding changes to the technical settings of the website itself, as well as to the settings for access to its management system, are accepted by the Contractor from the Customer exclusively in written form the contact address on the website or through the web interface of the Megagroup.ee user account, authorized under the login of the contact address . In case of change in the responsible person on the website, the Customer is obliged to notify the Contractor in written form no later than 2 (two) working days before the date of such change. The notification of the change of the responsible person on the website must contain the last name, first name and patronymic of the new responsible person, his phone number and e-mail address.

- After the Customer fills out the specification form (brief), the Contractor makes the following changes on the website: connects the color scheme selected by the Customer, places the logo, image in the website header, company name, address, phone number(s), company slogan, places the texts provided by the Customer and illustrations (2-4 working days). All information materials intended for posting on the webwebsite are provided by the Customer in electronic form exclusively through the online form for filling out the Brief in one of the following formats: for texts - the formats .doc, .docx, .odt, .odc, .txt, .xls, .xlsx; for photos: .png, .jpg, .gif. Graphic work is not performed, the creation of design templates is not provided.

- After receipt of payment under actual Contract, the Contractor connects the domain provided by the Customer to the website (1-3 working days) and places the website on the Internet for a period of 4 months.

- The Contractor registers the website in the Google search engine upon the written request of the Customer (5 working days) or on its own initiative after the expiration of a 30-day period from the receipt of payment under actual Contract. Registration implies sending a request for indexing the website by the Google search engine, while the indexing process itself is beyond the control of the Contractor and depends on the text content of the website and other requirements of search engine filters. If the request for website indexing is sent at the initiative of the Contractor and there is no content on the website sufficient for successful registration in the search engine, the Contractor, before sending the application for registration, draws up the website at his discretion, using the information about the Customer presented in the Brief. At the same time, the Customer has access to filling and editing the hidden version of the website and has the right to make it the main one at any time by disabling the temporary design prepared by the Contractor.

- During the period of operation of the website, the Contractor provides advice on working with the website in accordance with the Regulations on the provision of technical support services.

- After placing the website on the Internet for public access, the current maintenance of the website is carried out by the support department of the Contractor. The services of a personal manager who administers all work related to the website support can be provided for an additional fee in accordance with the current price list.

- The Customer is obliged to replace all test content of the website (including illustrations) within 30 days from the date of gaining access to the website management system. The test content is the content that was originally presented in the selected website template. Materials posted (submitted for placement) by the Customer or created by the Contractor as part of the fulfillment of obligations under actual Contract are the content of the Customer.

- During the website placement period, the Customer has the right to independently change the website design template and the set of functional blocks used. The content of the website is not saved when changing the design template.

Tariff Business "Ready solution";
 

2.1. The Contractor, for a fee, provides the Customer with services to create an Internet website at the Business "Ready Solution" tariff (hereinafter referred to as the "website") in the following scope:

- Providing the Customer with a ready-made website template ("Ready Solution"), which defines the location of various elements on the website, the artistic style and ways of displaying pages. The template includes a program html code, graphic elements, style sheets, additional files for displaying content, and other elements. The "Ready Solution" template is the result of intellectual activity, the exclusive rights to which belong to the Contractor.

- Providing 2 Gb of disk space for website files;

- Providing of a content management system (CMS) for self-management of the website content with the ability to create up to 450 pages on the website, including pages for the following functional purposes: Page with text, Form builder, Advanced form builder, Photo gallery, Photo gallery with albums, Link page (link to another page), Articles, Articles 2, News, XML websitemap, Email Us, Q&A, website Search, Files Page, HTML Page, HTML Text Page, Polls, Users, Registration and Login, websitemap , Goods and services, Promotions, Restaurant menu, Contacts, Staff, Landing page builder (up to 5 pages, up to 20 blocks on each), Universal page (up to 50 pages, up to 40 blocks on each). The number and title of sections/products/services is determined by the user.

- Customizing the color design of the selected Ready solution, placing a logo, company name, phone numbers, address in the header of the website. The Customer provides materials for placement in electronic form. Graphic work is not provided.

- Connecting a slider (automatic change of images) to the website (subject to the presence of a slider in the ready-made solution template chosen by the Customer).

- Filling up to 10 pages of the website with the Customer's information (materials are provided by the Customer in electronic form).

- Connection of a domain name provided by the customer (hereinafter referred to as the "domain")

- Registration of the website in the Google search engine.

- Consulting support for the website.

- Placing a website on the Internet with the provision of a content management system (the first 4 months are included in the cost of the website).

2.2. Work order:

- The customer selects a website at the Business "Ready Solution" rate from those presented at https://design.megagroup.ee/solution/base, and fills out an application for the creation of a website.

- After filling out the application, the Contractor creates a website for the Customer according to the template of the selected Ready Solution with test content and places it at a temporary address on the Internet. The website is assigned a digital identifier - #, through which it is subsequently individualized on the Contractor's server (website identifier). The website identifier remains unchanged when changing the domain name, including when moving from a temporary address to the main domain name.

- The Contractor connects to the website a management system for filling the website with information and provides the Customer with access to it through authorization in the Megagroup.ee User Cabinet.

- To gain access to the website management system, the Customer or his representative registers and / or logs in to the Megagroup.ee User Account, indicating his e-mail address as a login, as well as the phone number and full name of the person responsible for working with the website. The specified e-mail address becomes the contact address for this website. Further, all orders regarding changes to the technical settings of the website itself, as well as to the settings for access to its management system, are accepted by the Contractor from the Customer exclusively in writing from the contact address on the website or through the web interface of the Megagroup.ee user account, authorized under the login of the contact address . In case of change of the responsible person on the website, the Customer is obliged to notify the Contractor in written form not later than 2 (two) working days before the date of such change. The notification of the change of the responsible person on the website must contain the last name, first name and patronymic of the new responsible person, his phone number and e-mail address.

- Subject to availability of a slider in the selected ready-made solution, the Contractor, upon request of the Customer, places in it up to 5 images provided by the Customer (1-2 working days). Images are provided by the Customer in electronic form in jpg format, the required size is additionally reported by the Contractor. If the Customer does not have images for the slider, the Contractor, at his request, acquires up to three images selected by the Customer in the Shutterstock.com photobank. Images are purchased under the Standard License: https://www.shutterstock.com/license. The Contractor is not engaged in independent selection of images. The Contractor reserves the right to refuse to purchase individual images selected by the Customer if they do not comply with the terms of the Standard License or do not meet the required technical specifications.

- The Contractor fills up to 10 pages of the webwebsite with materials provided by the Customer (2-5 working days). Filling one page of the webwebsite means placing up to 100 kb of text and up to three photos on the page without any formatting. All information materials intended for placement on the webwebsite are provided by the Customer no later than 30 days from the date of receipt of payment under actual Contract, through the file uploader provided by the Contractor. No other means of transferring materials is provided. Materials are provided in one of the following formats: for texts - .doc, .docx, .odt, .odc, .txt, .xls, .xlsx formats; for photos: .png, .jpg, .gif.

- The Contractor connects the domain provided by the Customer to the website (1-3 working days) and places the website on the Internet for a period of 4 months.

- The customer tests the website for correct operation. The testing period is determined by the Customer independently, but cannot be more than 30 days. During the test period, the website remains closed from indexing by search engines. In case of revealing the errors in the operation of the website during the test period, the Contractor undertakes to eliminate such errors within 5 working days.

- The customer informs about the end of the test period by applying for registration of the website in the search engine.

- The Contractor registers the website in the Google search engine upon written request of the Customer (5 working days) or on its own initiative after the expiration of a 30-day period from the receipt of payment under actual Contract. Registration implies sending a request for indexing the website by the Google search engine, while the indexing process itself is beyond the control of the Contractor and depends on the text content of the website and other requirements of search engine filters. In the event that a request for indexing the website is sent at the initiative of the Contractor and at the same time there is no content on the website sufficient for successful registration in the search engine, the Contractor, before sending the application for registration, draws up a temporary main page of the website at his discretion, using the information about the Customer provided in the Brief, and hides other pages of the website for visitors. At the same time, the Customer has access to filling and editing hidden pages and has the right to disable the temporary main page at any time and open the full version of the website.

- During the life of the website, the Contractor provides advice on working with the website in accordance with the Regulations on the provision of technical support services.

-After placing the website on the Internet for public access, the current maintenance of the website is carried out by the support department of the Contractor. - The customer is obliged to replace all test content of the website (including illustrations) within 30 days from the date of gaining access to the website management system. Tariff Business "Design from the Catalog"
 

2.1. The Contractor, for a fee, provides the Customer with services to create an Internet website at the Business tariff “Design from the Catalog” (hereinafter referred to as the “website”) in the following scope:

- A website with a thematic design of the Customer's choice (from those presented at https://design.megagroup.ee/design) with the inclusion in the selected template: logo, name, contact information of the Customer, without changing the design concept. The customer provides the materials in electronic form. Does not include the implementation of complex graphic works and the selection of photographs on the Internet.

- Providing 2 Gb of disk space for website files.

- Providing of a content management system (CMS) for self-management of the website content with the ability to create up to 450 pages on the website, including pages for the following functional purposes: Page with text, Form builder, Advanced form builder, Photo gallery, Photo gallery with albums, Link page (link to another page), Articles, Articles 2, News, XML websitemap, Email Us, Q&A, website Search, Files Page, HTML Page, HTML Text Page, Polls, Users, Registration and Login, websitemap , Goods and services, Promotions, Restaurant menu, Contacts, Staff, Landing page builder (up to 5 pages, up to 20 blocks on each), Universal page (up to 50 pages, up to 40 blocks on each). The notification of the change of the responsible person of the website must contain the last name, first name and patronymic of the new responsible person, his phone number and e-mail address.

- After the Customer fills out the specification form (brief), the Contractor makes the following changes on the website: places the selected design with the logo, company name, address, phone number(s), slogan. All materials for placement are provided by the Customer in electronic form. Graphic work is not performed, the creation of design templates is not provided. In case of choosing a design from the Catalog that does not have a link to the demo version, the design and structure of the website for tablets and smartphones is developed at the discretion of the Contractor, according to the style and design of the version for personal computers. Term of performance of works: 3-5 working days from the receipt of payment under actual Contract.

- When the Customer orders additional works and in some other cases, the Contractor has the right to independently initiate the preparation of website design templates. In this case, the term for preparing a design template is from 3 to 5 working days. It is possible to make up to 2 edits (up to 3 working days for each edit, a request for edits is accepted from the Customer exclusively in electronic form, through the template management system). In the case of preparing templates, the design is posted on the Customer's website within 7-10 working days from the moment the template is approved..

- The Contractor fills up to 10 pages of the website with materials provided by the Customer (3-5 working days). Filling one page of the website means placing up to 100 kb of text and up to three photos on the page without any formatting. All information materials intended for placement on the website are provided by the Customer no later than 30 days from the date of receipt of payment under this Contract, through the file uploader provided by the Contractor. No other means of transferring materials is provided. Materials are provided in one of the following formats: for texts - .doc, .docx, .odt, .odc, .txt, .xls, .xlsx formats; for photos: .png, .jpg, .gif.

- The Contractor connects the domain chosen by the Customer to the website (1-3 working days) and places the website on the Internet for a period of 4 months.

- The customer tests the website for correct operation. The testing period is determined by the Customer independently, but cannot be more than 30 days. During the test period, the website remains closed from indexing by search engines. In case of detection of errors in the operation of the website during the test period, the Contractor undertakes to eliminate such errors within 5 working days.

Tariff Business "Individual design"
 

2.1. The Contractor, for a fee, provides the Customer with services to create an Internet site at the rate of Business "Individual Design" (hereinafter referred to as the "website") in the following scope:

- Development of an individual thematic website design: preparation of templates for the design of the main page (for the PC version and the adaptive version of the website) on the topic of the customer's activity with the possibility of making up to two edits to each template. The design is developed at the discretion of the designer, taking into account the agreed terms of reference with the Customer. When creating, elements of the customer's corporate identity are used (company logo, corporate colors, business cards, booklets, photographs of the customer). The customer provides the materials in electronic form. Does not include the implementation of complex graphic works and the selection of photographs on the Internet.

- Responsive HTML-template of the website. It implies the possibility of correct display of the website on various devices (personal computers, smartphones, tablets). The correct display here is understood as a display that dynamically adjusts to the specified dimensions of the browser window. - Providing 2 Gb of disk space for website files;

- Based on the agreed terms of specification, the Contractor develops a template design of the main page within 7 working days. After approving the template of the main page for the PC version of the website, the Contractor prepares the template of the main page for the adaptive version of the website within up to 5 business days. The Customer may refuse to display the template of the adaptive version of the website by notifying him by contact e-mail. In this case, the adaptive version of the website is developed at the discretion of the Contractor. If necessary, the Customer makes up to 2 (two) sets of changes to the templates (up to 3 working days for each set of changes, the request for changes is accepted from the Customer exclusively in electronic form, through the template management system).

- After the Customer approves the design templates and after the receipt of full payment under this Contract, the finished design is made up and connected to the website (7-10 working days).

- The Contractor fills up to 10 pages of the website with materials provided by the Customer (2-3 working days). Filling one page of the website means placing up to 100 kb of text and up to three photos on the page without any formatting. All information materials intended for posting on the website are provided by the Customer no later than 30 days from the date of receipt of payment under this Contract, through the file uploader provided by the Contractor. - The term for testing the result of the work is determined by the Customer independently, but cannot exceed 30 days. During the testing period, the Customer has the right to send the Contractor up to 2 (two) requests for amendments to the completed work. An edit is considered to be a work that does not provide for changes to the original concept agreed upon in the subject of the Contract and in the terms of specifications, in other cases, edits are considered as additional work that can be performed on a paid basis after assessing the possibility and cost of their implementation. The Contractor fulfills the obligation to make changes within 5 (five) working days for each request for making changes.

- The customer informs about the end of the test period by applying for registration of the website in the search engine.

2.1The Contractor, for a fee, provides the Customer with services to create an Internet website at the “Optimal Online Store” tariff (hereinafter referred to as the “website”) in the following scope:

- Providing the Customer with a ready-made website template ("Ready Solution"), which determines the location of various elements on the website, the artistic style and ways of displaying pages. "Ready solution" includes program html-code, graphic elements, style sheets, additional files for displaying content and other elements. The "Ready Solution" template is the result of intellectual activity, the exclusive rights to which belong to the Contractor. - Providing 5 Gb of disk space for website files..

- During the period of operation of the website, the Contractor provides advice on working with the website in accordance with the Regulations on the provision of technical support services.

- After placing the website on the Internet for public access, the current maintenance of the website is carried out by the support department of the Contractor. The services of a personal manager who administers all work related to the website support can be provided for an additional fee in accordance with the current price list.

- The customer is obliged to replace all test content of the website (including illustrations) within 30 days from the date of gaining access to the website management system. The test content is the content that was originally presented in the selected website template. Materials posted (submitted for placement) by the Customer or created by the Contractor as part of the fulfillment of obligations under this Contract are the content of the Customer.

2.1. The Contractor, for a fee, provides the Customer with services to create an Internet website at “Online Store 2.0. Individual design" tariff (hereinafter referred to as the "webwebsite") in the following scope:

- Development of an individual thematic website design: preparation of templates for the design of four pages of the PC version of the website and four pages of the adaptive version (main page, pages "Product catalog", "Product card", "Shopping Cart") on the topic of the Customer's activity with the possibility of making up to two edits to each template. The design is developed at the discretion of the designer, taking into account the agreed terms of reference with the Customer. When creating, elements of the customer's corporate identity are used (company logo, corporate colors, business cards, booklets, photographs of the customer). The Customer provides the materials in electronic form. Does not include the implementation of complex graphic works and the selection of photographs on the Internet.

- Responsive HTML-template of the website. It implies the possibility of correct display of the website on various devices (personal computers, smartphones, tablets). The correct display here is understood as a display that dynamically adjusts to the specified dimensions of the browser window. It is possible to move blocks of content, resize images, hide less important blocks.

-Providing 5 Gb of disk space for website files.

2.2. Work order:

- After filling out the application, the Contractor creates a website for the Customer with a temporary design and places it at a temporary address on the Internet. The website is assigned a digital identifier - #, through which it is subsequently individualized on the Contractor's server (website identifier). The website identifier remains unchanged when changing the domain name, including when moving from a temporary address to the main domain name.

- The Contractor connects to the website a management system for filling the website with information and provides the Customer with access to it through authorization in the Megagroup.ee User Account.

- To gain access to the website management system, the Customer or his representative registers and / or logs in to the Megagroup.ee User Account, indicating his email address as a login, as well as the phone number and full name of the person responsible for working with the website. The specified e-mail address becomes the contact address for this website. Further, all orders regarding changes to the technical settings of the website itself, as well as to the settings for access to its management system, are accepted by the Contractor from the Customer exclusively in written form the contact address on the website or through the web interface of the Megagroup.ee user account, authorized under the login of the contact address . In case of a change in the responsible person on the website, the Customer is obliged to notify the Contractor in written form no later than 2 (two) working days before the date of such change. The notification of the change of the responsible person on the website must contain the last name, first name and patronymic of the new responsible person, his phone number and e-mail address.

- Based on the agreed terms of specification, the Contractor develops a template design of the main page within 7 working days. And if necessary, makes up to two edits to it (up to 3 working days for each edit, a request for edits is accepted from the Customer exclusively in electronic form, through the template management system).

- After the Customer approves the template of the design of the main page of the website, the Contractor within 3 working days develops templates for the design of three more pages of the website ("Product catalog", "Product card", "Shopping Cart") and, if necessary, makes up to two edits to them (up to 3- x working days for each edit, the request for edits is accepted from the Customer exclusively in electronic form, through the template management system).

- After the Customer approves the templates of internal pages, the Contractor within 4 working days develops templates for the design of the adaptive version of the four pages of the website ("Main page", "Product catalog", "Product card", "Shopping Cart") and, if necessary, adds up to two edits (up to 3 working days for each edit, a request for edits is accepted from the Customer exclusively in electronic form, through the template management system). The customer may refuse to display the template of the adaptive version of the website by notifying him by contact e-mail. In this case, the adaptive version of the website is developed at the discretion of the Contractor.

- After the Customer approves all design templates and makes full payment under the Contract, the design is made up and connected to the website (10-15 working days).

- The Contractor fills up to 15 pages of the website with materials provided by the Customer (2-5 business days). Filling one page of the website means placing up to 100 kb of text and up to three photos on the page without any formatting. All information materials intended for posting on the website are provided by the Customer no later than 30 days from the date of receipt of full payment under this Contract, through the file uploader provided by the Contractor. No other means of transferring materials is provided. Materials are provided in one of the following formats: for texts - .doc, .docx, .odt, .odc, .txt, .xls, .xlsx formats; for photos: .png, .jpg, .gif.

- The Contractor connects the domain provided by the Customer to the website (1-3 working days) and places the website on the Internet for a period of 4 months.

-The term for testing the result of the work is determined by the Customer independently, but cannot exceed 30 days. During the testing period, the Customer has the right to send the Contractor up to 2 (two) requests for amendments to the completed work. An edit is a work that does not provide for changes to the original concept of work described in the subject of the Contract in the terms of specification, in other cases, edits are considered as additional work that can be performed on a paid basis after assessing the possibility and cost of their implementation. The Contractor fulfills the obligation to make changes within 5 (five) working days for each request for making changes.

- The customer informs about the end of the test period by applying for registration of the website in the search engine.

- The Contractor registers the website in the Google search engine at the written request of the Customer (5 working days) or on its own initiative after the expiration of a 30-day period from the receipt of payment under this Contract. Registration implies sending a request for indexing the website by the Google search engine, while the indexing process itself is beyond the control of the Contractor and depends on the text content of the website and other requirements of search engine filters. - After the Customer approves the templates of internal pages, the Contractor within 4 working days develops templates for the design of the adaptive version of the three pages of the website ("Main page", "Product catalog", "Product card") and, if necessary, makes up to two edits to them (up to 3 x working days for each edit, the request for edits is accepted from the Customer exclusively in electronic form, through the template management system). The customer may refuse to display the template of the adaptive version of the website by notifying him by contact e-mail. In this case, the adaptive version of the website is developed at the discretion of the Contractor.

- After the Customer approves all the templates of the design and after full payment of the contract, the manufactured design is made up and connected to the website (10-15 working days).

- The Contractor fills up to 15 pages of the website with materials provided by the Customer (2-5 working days). 3. TERMS AND CONDITIONS OF PAYMENT FOR WORKS AND SERVICES

3.1. The cost of the Services provided is determined by the Contractor unilaterally based on the price list posted on the website https://megagroup.ee/price

3.2. The Contractor has the right to unilaterally change the prices for the Services provided.

3.3. The date of entry into force of new prices and payment terms is the date they are posted on the Contractor's website https://megagroup.ee/price

3.4. Services are provided to the Customer on the terms of 100% prepayment.

3.4.1. In the case of developing a website with an individual design:

- The Contractor starts to perform work after 50% payment by the Customer of the cost of work and services and the receipt of funds to the Contractor's account. The rest of the payment is paid by the Customer after the approval of the design templates.

- Connection of the domain provided by the Customer, registration in the search engine can be carried out only after the full payment by the Customer for services under this Contract.

3.5. Payment is made on the basis of an invoice issued by the Contractor.

3.6. The Contractor draws up for the Customer a certificate of completion for the entire cost of the contract after the webite is placed on the Internet and the domain selected by the Customer is connected to it. The originals of the certificate of completion are provided to the Customer, subject to receipt from the Customer of a signed copy of this Contract. The signed certificates of completion shall be returned to the Contractor within 30 days from the date of their receipt by the Customer. In case the Customer fails to submit a signed certificate of completion or a reasoned refusal within the specified time, the services rendered and work performed are considered to be performed with no claims against the Contractor.

3.7. The fact of payment under this Contractt indicates the consent of the Customer with all its conditions. The fact of payment for works and services under this Contract by a third party in the absence of his written statement that the payment was made on behalf of and in the interests of the Customer entails the transfer of rights to the website created under this Contract to the specified third party (the exception is the situation described in clause 6.3 of the Contract).

4. SPECIAL CONDITIONS

4.1. The Customer guarantees that he is the owner of the exclusive rights to the text and graphic information posted by him on the website (provided for placement) or has all the necessary permissions from the authors and other copyright holders. At the request of the Customer, the Contractor provides a backup copy of the website in the form of HTML files by e-mail.

4.2. The Customer independently monitors the domain registration period and is responsible for the timely extension of this period.

4.3. The Customer undertakes to comply with the rules for using the Internet and not to use any type of SPAM. SPAM means sending emails and other messages of an advertising, commercial or campaigning nature, not agreed with the recipient, as well as letters containing information that is contrary to public interests, the principles of humanity and morality (in particular, words of obscene content, calls for violence, extremist activities)., overthrow of power, inhumane appeals that offend human dignity or religious feelings, etc.) SPAM can also be recognized as sending messages that do not meet the following requirements:

- e-mail address can be included in the mailing list only at the request of the owner of the address;

- e-mail address must be excluded from the mailing list at the request of the owner of the address without any difficulties for him.

4.4. The content of the website is changed by the Customer independently through the management system at: https://cabinet.megagroup.ee

4.5. The operation of the website and the website management system is guaranteed in the current versions (the last two) of the browsers Google Chrome, Yandex.Browser, Microsoft Edge, Mozilla FireFox, Opera - with JavaScript enabled, as well as in Safari for MacOS (the latest current version); For websites with adaptive design, correct operation is additionally guaranteed on Android and iOS operating systems, in Google Chrome (the last two up-to-date versions), Safari for iOS (the last up-to-date version), Yandex Browser (the last two up-to-date versions).

4.6. The website management system is the property of the Contractor and is provided for temporary use for a period paid by the Customer, provided that the website files are placed on the Contractor's equipment.

4.7. The website design of the PC version is developed based on the monitor resolution from 1466x768 to FullHD. Responsive design is designed for a minimum device screen width of 460px. On the website at the bottom of the pages there is a link to the Contractor's website. Removing the specified link is possible for an additional fee according to the current price list of the Contractor. The correct display of the website, identical to the approved design layout, is guaranteed in the Microsoft Windows operating system in the Internet browsers named in clause 4.5. When displaying the website in other operating systems, deviations from the approved design template are possible. Primary images purchased by the Contractor in Internet photo banks under non-exclusive licenses may be used in the design.

4.8. The Contractor does not provide any services for customizing hardware and software with a visit to the place of residence or work of the user of the service. All technical support is carried out remotely on the terms of the Regulation on the provision of technical support services.

4.9. The Contractor has the right on one of the Saturdays of each month from 02:00 am to 04:00 am Tallinn time to carry out scheduled technical work to update software and equipment. At the specified time, access to the website and its services may be limited. The Contractor informs the Customer about the planned work by posting the relevant information on the website http://megagroup.ee/ at least 4 days before they start.

4.10. The Customer has the right to transfer his rights to the website in the manner prescribed by the Contractor. The cost of the service for making changes related to the change of the owner of the website to the database of the Contractor before the expiration of the paid period for placing the website is indicated in the price list on the website. Payment is made by the new owner of the website. The transfer of rights to the website does not entail the transfer of rights to the domain name. The transfer of rights to a domain name is carried out according to the rules established by the Domain Name Registrar, without the participation of the Contractor.

4.11. The website tariff, named in clause 1.1, defines a closed list of additional services that can be provided in relation to the website being created for a fee. The specified list and the cost of additional services are set out on the Contractor's website (http://megagroup.ee). Additional services associated with an increase in the amount of information resources occupied by the website (increase in disk space, the maximum number of pages, categories and products of the online store, etc.) entail an increase in the cost of extending the website.

4.12. The functionality of the website and its management system are provided on an "as is" basis. The Contractor does not guarantee the possibility of implementing through the website any individual needs and tasks of the Customer and does not give any guarantees for making any changes to the functionality of the website and / or its management system at the request of the Customer. At the same time, the Contractor reserves the right to independently improve and update the website management system.

4.13. The Contractor performs regular backups of the Customer's website. Depending on the age of the website and the frequency of its updates, the Contractor keeps up to fourteen backup copies of the website. At the same time, storage of daily copies for the last 7 days is guaranteed without fail. The storage of earlier versions of the website is carried out according to the sampling method with a gradual increase in the time intervals between the dates of the backups. In reverse order from the current date, the approximate frequency of creating and then storing backups is: seven daily copies, up to three weekly, up to two monthly, up to two quarterly.

4.14. The Contractor does not provide any legal advice to the Customer, including on the rules of trading through the online store, civil and tax laws.

4.15. The Customer agrees to the collection and processing of his personal data and / or guarantees the existence of such consent from all of his representatives participating in the process of concluding and executing this Contract. Consent applies to the following information: last name, first name, patronymic, address, data of identity documents, phone numbers, fax numbers, e-mail addresses. This consent is given to the Contractor solely for the purpose of concluding and executing this Contract, obtaining information about other services of the Contractor. The processing of personal data can be carried out using automated processing tools and without using such tools, including collection, recording, systematization, accumulation, storage, clarification (updating, changing), extraction, verification, use, depersonalization, blocking, deletion, destruction. This consent is given indefinitely.

4.16. The Customer is solely responsible for the safety and confidentiality of the login and password of his User Account Megagroup.ee, used to access the website management system, as well as for access to contact e-mail on the website. The Customer acknowledges that all actions carried out through the web interface of the Megagroup.ee User Account, and all requests received from the contact e-mail on the website, are considered to be carried out by the Customer

5. RESPONSIBILITIES OF THE PARTIES

5.1. The Contractor ensures round-the-clock and uninterrupted operation of the site on the Internet, ensures daily copying of website data in accordance with clause 4.14 of this Agreement and their restoration in case of loss. In case of a delay in restoring the website's performance, the Contractor extends the period of website placement for the downtime. The amount of the Contractor's liability is limited solely by the price specified in clause 3.1. actual agreement. The lost profit of the Customer is not subject to compensation by the Contractor.

5.2. For non-fulfillment or improper fulfillment of obligations under this Contract, the parties are liable in accordance with applicable law.

5.3. The Contractor is not responsible for the quality and speed of access to the Contractor's website by the Customer, carried out through the communication channels of operators and Internet providers, as well as for failures in the operation of telecommunication networks and equipment of third parties.

5.4. The Contractor is not legally, materially or otherwise liable for the information posted by the Customer (provided for placement) on the website and has the right to terminate the contract unilaterally if the Customer posts information that contradicts the norms of legislation, or violates the rights and legitimate interests of third parties, as well as in if the Customer displays SPAM activity in violation of clause 4.3. this Contract.

5.5. The parties are not liable for circumstances that are "force majeure", beyond their control, i.e., "force majeure" circumstances. Neither Party shall under any circumstances be liable for the loss of profits of the other Party.

5.6. In case the Contractor fails to fulfill its obligations under this Contract, the Contractor undertakes to pay a penalty in the amount of 0.3% of the total cost of services specified in clause 3.1. of this Contract, for each day of delay or non-fulfillment of obligations, subject to the timely provision by the Customer of the materials and information necessary for the performance of work.

5.7. The Contractor has the right to suspend the execution of work on the creation of the website in case the Customer does not provide the information and / or materials necessary for the Contractor for the timely performance of its obligations under this Contract. The work can be resumed from the moment the necessary information is received from the Customer, and the period for the completion of work increases by the time the work is suspended and depends on the degree of workload of the Contractor during the period of resumption of work under the Contract. The suspension of work on the creation of the website does not affect the calculation of the website placement period in accordance with clause 6.3. actual Contract.

5.7.1. The Contractor reserves the right to suspend the work of the Customer's website if he received messages from Internet users with complaints about fraudulent actions performed using the website, while the Customer's website does not contain information that allows him to identify and a valid contact phone number.

5.8. The Contractor shall notify the Customer of the suspension of work and provision of services under this Contract by sending an e-mail to the Customer's contact e-mail address, and an SMS message may be sent to the Customer's contact mobile phone number (if any). If, within 15 (fifteen) calendar days from the date of sending the notification, the Customer does not provide the necessary information and / or materials, the work is considered to be suspended for an indefinite period, while the Contractor retains the right to pay him the price specified in the Contract, taking into account the part of the work performed. In case of expiration of the website placement period in accordance with clause 6.3. of this Contract, works and services under this Contract are considered to be performed and accepted by the Customer without comment.

5.9. The Parties are responsible for the authenticity and reliability of the information and documents provided by them to each other during the conclusion and execution of this Contract.

6. PROCEDURE FOR SIGNING AND DURATION OF THE CONTRACT

6.1. Acceptance of the Offer by the Customer creates the Contract on the terms of the Offer.

6.2. The Contract comes into force from the moment of Acceptance of the Offer by the Customer.

6.3. The Contractor undertakes to maintain the operation of the website for 4 months from the moment the website is placed on the Internet. The moment of placing the website on the Internet is understood as the earliest of the events: the connection of the main domain to the website or the expiration of a 30-day period from the date of receipt of payment under this Contract. The cost of extending the operation of the website is determined by the current price list of the Contractor, published on the page of his website.

6.4. This Contract is valid until the expiration of the term for placing the website on the Internet in accordance with clause 6.3. actual Contract. If before the expiration of the specified period the Customer receives payment for the next term of placing the website on the Internet, the contract is considered prolonged for the specified period and terminates upon the expiration of the paid period.

6.5. The Parties undertake to inform each other about changes in their addresses and other data and details relevant to the execution of this Agreement within 5 days from the date of such changes. The corresponding notification is sent to the second party to the contact address of its e-mail.

6.6. The parties have the right to unilaterally terminate actual Contract only if the other party of the Contract is fully reimbursed the expenses actually incurred by the execution of the Contract and notifies thereof by sending an e-mail to the contact e-mail address 7 calendar days before the termination of the Contract. Wherein:

- the Contractor's expenses for connecting the selected design to the Customer's website with the placement of information specified by the Customer in the Brief, amount to 50% of the cost specified in clause 3.1;

- the Contractor's expenses for connecting the selected design to the Customer's website with the placement of information specified by the Customer in the Brief, as well as filling the website pages with materials provided by the Customer, amount to 80% of the cost specified in clause 3.1;

- after registration of the website in the search engine, the website creation service is considered to be rendered and is subject to payment in full.

7. DISPUTES OF THE PARTIES

7.1. All disputes and disagreements are resolved through negotiations between the parties. If disputes and disagreements cannot be settled through negotiations, they are referred to the court in accordance with the law.
